These terms govern your organisation's use of Genni, the document processing service provided by Scribble Green Limited, trading as Scribble Green Technology ("Scribble Green", "we", "us"), through the portal at genni.scribblegreen.com and the API at api.genni.scribblegreen.com. By creating an organisation or using an API key you accept them on behalf of that organisation.
Genni reads documents you upload, such as annual reports and financial statements, extracts their figures, maps them to standard templates, checks them against accounting rules, and makes the results available through the portal, the API, webhooks and exports.
Extraction uses automated tools, including AI. Genni flags figures that fail its checks for review, but it cannot guarantee that every figure is correct. You are responsible for reviewing results before relying on them for decisions.
You must give accurate information, keep sign-in details and API keys secret, and tell us promptly at hello@scribblegreen.com if you believe they have been compromised. Owners and admins of an organisation control its members, keys and settings, and are responsible for activity under them.
Only upload documents you are entitled to process. Do not upload malicious files, attempt to access other organisations' data, probe or overload the service beyond its published rate limits, or use Genni to break any law.
We may suspend access that puts the service or other users at risk, and will tell you why unless the law prevents us.
You keep all rights in the documents you upload and in the data Genni produces from them (your "Outputs"). You give us the rights we need to process them to provide Genni to you, as set out in the Data Processing Agreement.
Scribble Green keeps all rights in Genni itself: its software, extraction engine, templates, mappings, checks and documentation. These terms do not transfer any of them to you.
Separately, and only if your organisation turns it on, figures from your documents may be added to Scribble Green's data bank, as described in the Data Bank terms. It is off unless you turn it on.
Paid features are charged at the prices shown in the portal when you buy them, per processed document (one company's report for one financial year) or under a monthly plan. Payments are processed by our payment provider. Prices exclude VAT, which is added at the prevailing rate. Fees for documents already processed are not refundable except where the law requires or we agree in writing.
We work to keep Genni available and secure but do not promise uninterrupted service. We may change or improve features; if a change materially reduces what you have paid for, we will tell you in advance.
Genni is provided on an "as available" basis. To the fullest extent the law allows, Scribble Green is not liable for indirect or consequential loss, lost profits or decisions made on the basis of Outputs, and our total liability in any 12 months is limited to the fees you paid us in that period. Nothing here limits liability that cannot be limited by law.
You may stop using Genni and ask us to close your organisation at any time. We may end these terms on 30 days' notice, or immediately for serious breach. On closure we delete your documents and Outputs as described in the Data Processing Agreement.
These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Lagos State have jurisdiction. We may update them; the current version is always here, and material changes will be notified in the portal and require renewed acceptance.
